These Terms of Service ("Terms") are a legal agreement between you and Sopeasy, LLC, doing business as Sey ("Sey," "we," "us," or "our"). They govern your access to and use of sey.so, the Sey dashboard, public feedback portals, the in-app widget, and related services (collectively, the "Services").
By accessing or using the Services, you agree to these Terms. If you use Sey for an organization, you represent that you have authority to bind that organization, and "you" includes that organization. If you do not agree, do not use the Services.
1. Eligibility and accounts
You must be at least 18 years old and legally able to enter into these Terms. You must provide accurate account information, keep it current, protect your credentials, and promptly notify us of unauthorized use.
You are responsible for activity under your account and for ensuring that workspace members and end users comply with these Terms. Workspace owners and administrators may control access, roles, content, and settings within their workspace.
2. The Services
Sey helps teams collect and organize feedback, publish roadmaps and changelogs, and embed those experiences in their products. We may improve, add, remove, or change features over time. We do not guarantee that every feature will always be available or that the Services will be uninterrupted or error-free.
Documentation and descriptions are provided for convenience and do not create warranties beyond those expressly stated in these Terms.
3. Customer content
"Customer Content" means feedback, comments, votes, files, branding, roadmap items, changelog posts, participant information, and other material submitted to the Services by you or on your behalf.
You retain ownership of Customer Content. You grant Sey a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, display, modify, and otherwise use Customer Content only as needed to provide, secure, maintain, and improve the Services and to comply with law.
You represent that you have all rights and permissions needed to submit Customer Content and permit our processing of it. You are responsible for the accuracy, legality, and appropriateness of Customer Content, including obtaining required notices and consent from customers, feedback participants, and other individuals.
4. Public content and participant submissions
Workspaces may publish feedback boards, roadmaps, changelogs, and related content publicly. You are responsible for choosing what is public and for reviewing content before publication. Public content can be viewed, indexed, copied, or shared by others.
If you submit feedback through a Sey-powered portal or widget, your submission is also subject to the workspace owner's terms and privacy practices. Sey does not control how that workspace owner chooses to use your submission.
5. Acceptable use
You may not use the Services to:
- violate law, regulation, or another person's rights;
- submit unlawful, deceptive, defamatory, abusive, hateful, or infringing material;
- expose confidential, financial, health, government-identification, or other highly sensitive information without authorization and appropriate safeguards;
- distribute malware, spam, or harmful code;
- interfere with, overload, probe, scan, or bypass the security of the Services;
- access accounts, systems, or data without permission;
- scrape or extract data through automated means except through interfaces we expressly provide;
- reverse engineer or attempt to discover source code except where applicable law does not permit that restriction;
- resell or provide the Services to third parties except as expressly allowed by your plan or a written agreement; or
- use the Services or their output to build or train a competing product without our written permission.
We may investigate suspected misuse and remove content or restrict access where reasonably necessary to protect the Services, our users, or others.
6. AI-assisted features
Some features may use third-party artificial intelligence services to create embeddings, identify related feedback, generate suggestions, or assist with content. AI output may be incomplete or inaccurate and should be reviewed before use or publication. You remain responsible for decisions and content based on AI-assisted features.
Do not submit information to an AI-assisted feature unless you have the right to process it in that way. AI features are not intended to provide legal, medical, financial, or other professional advice.
7. Our intellectual property
Sey and its licensors own the Services, including software, designs, documentation, trademarks, and other materials, excluding Customer Content. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services during your account term for your internal business purposes.
If you send us ideas, suggestions, or product feedback about Sey, you permit us to use them without restriction or compensation. This does not transfer ownership of Customer Content submitted for use within your workspace.
8. Third-party services
The Services may depend on or integrate with third-party products such as authentication, payment, hosting, email, analytics, storage, and AI providers. Your use of a third-party service may be governed by separate terms. We are not responsible for third-party services outside our control.
9. Plans, billing, and taxes
Some features require a paid subscription. Prices, plan limits, and included features are shown at purchase and may change prospectively. Fees are quoted in U.S. dollars unless stated otherwise and do not include applicable taxes.
Paid subscriptions renew automatically for the billing period you select until canceled. You authorize us and our payment processor to charge the payment method associated with your account. You can cancel through your workspace's billing controls. Cancellation takes effect at the end of the current paid period unless applicable law requires otherwise.
Except where required by law or expressly stated otherwise, fees are non-refundable. We may suspend paid features if payment is overdue. We may change or discontinue a free plan, but will provide reasonable notice when practicable if a change materially affects active users.
10. Suspension and termination
You may stop using Sey or delete your account as permitted in the Services. Workspace owners are responsible for exporting any Customer Content they wish to retain before closing a workspace.
We may suspend or terminate access if you materially breach these Terms, create risk or legal exposure, fail to pay fees, or use the Services in a way that could harm Sey or others. When practical, we will provide notice and an opportunity to cure.
After termination, your right to use the Services ends. Provisions that by their nature should survive will remain effective, including ownership, payment obligations, disclaimers, liability limits, indemnity, and dispute terms.
11. Privacy
Our Privacy Policy explains how Sey handles personal information. If you use Sey to collect personal information from others, you are responsible for providing legally required notices and establishing an appropriate basis for processing it.
12. Disclaimers
To the fullest extent permitted by law, the Services are provided "as is" and "as available." Sey disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and that the Services will be secure, uninterrupted, or error-free.
Sey does not guarantee that feedback, votes, AI output, analytics, or other information available through the Services is accurate or suitable for any particular decision.
Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.
13. Limitation of liability
To the fullest extent permitted by law, Sey and its affiliates, officers, employees, agents, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, or business opportunities, arising from or related to the Services.
To the fullest extent permitted by law, our total liability for all claims arising from or related to the Services will not exceed the greater of (a) the amount you paid Sey during the twelve months before the event giving rise to the claim or (b) one hundred U.S. dollars.
These limits apply regardless of the legal theory and even if a remedy fails of its essential purpose. They do not limit liability that cannot lawfully be limited.
14. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless Sey and its affiliates, officers, employees, and agents from claims, losses, liabilities, and reasonable expenses arising from your Customer Content, your use of the Services, your violation of these Terms, or your violation of another person's rights.
15. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Services will be brought exclusively in the state or federal courts located in Delaware, and each party consents to their jurisdiction and venue.
Before filing a claim, you agree to contact us and try in good faith to resolve the dispute informally. Nothing in this section prevents either party from seeking urgent injunctive relief or bringing a claim in small-claims court where eligible.
16. Changes to these Terms
We may update these Terms as the Services or law changes. We will update the date above and provide additional notice when a change is material. Continued use after the updated Terms take effect means you accept them. If you do not agree to an update, you must stop using the Services.
17. General terms
These Terms and any additional written terms that apply to your plan form the entire agreement between you and Sey regarding the Services. If a provision is unenforceable, the remaining provisions remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a merger, reorganization, sale, or transfer of the Services. Neither party is liable for delay caused by events beyond its reasonable control.
